These terms and conditions govern the sale of products (“Products”) and the provision of services (“Services”) by Pristine Vinyl (the “Seller”). These terms and conditions (“Conditions”) take precedence over Buyer’s terms and conditions including any supplemental or conflicting terms and conditions to which notice of objection is hereby given. Acceptance by Buyer is limited to these terms and conditions. Neither Seller’s commencement of performance nor delivery shall be deemed or constituted as acceptance of Buyer’s supplemental or conflicting terms and conditions. Buyer’s acceptance of delivery of the Products and/or Services from Seller shall be deemed to constitute acceptance of these Conditions.

Please note, these Terms and Conditions do not apply to the sale of any Pristine Vinyl products by a third party ie a Dealer or Distributor or a third party second hand seller of Pristine Vinyl products. In these cases, the Terms and Conditions of Sale are with between the Buyer and the Third Party not Pristine Vinyl.

1. Orders

All orders placed by Buyer are subject to written acceptance by Seller. Orders may not be cancelled or rescheduled without Seller’s prior written consent. Buyer is responsible for the accuracy of its order and any Buyer’s specification and for supplying any relevant information within sufficient time to enable Seller to perform the contract for delivery of Products/Services. 

2. Prices

(a) The prices of the Products are those specified in Seller’s Order Confirmation. Pricing for undelivered Product may be increased in the event of any increase in Seller’s costs, change in market conditions or any other causes beyond Seller’s reasonable control. Quotations, unless otherwise stated, are valid on day of issue only; thereafter Seller may change them without notice.

(b) Unless otherwise agreed to in writing by Seller, all prices quoted are exclusive of transportation and insurance costs, duties, and all taxes including, but not limited to Value Added Tax. Buyer agrees to pay these taxes unless the Seller agrees in writing that the sale is exempted. Buyer agrees to indemnify and hold Seller harmless for any liability for tax in connection with the sale, as well as the collection or withholding thereof, including penalties and interest thereon. When applicable, transportation and taxes shall appear as separate items on Seller’s invoice.

3. Payment

(a) Seller’s standard terms of payment are full payment in advance. Seller accepts payment by Bank transfer or through the Seller’s online shop. All product prices and delivery charges are shown in UK pounds sterling. Payment is accepted in UK Sterling GBP only. 

Once payment has been received the Seller will process your order and send your goods providing you with courier tracking details if appropriate. A tax invoice for your records will be sent once the order has been dispatched. 

(b) Transportation charges from Seller’s to Buyer shall be paid by Buyer to Seller, in addition to the purchase price of the Product, unless otherwise agreed to in writing by Seller. Seller will select the carrier in the absence of specific instructions by Buyer. 

4. Delivery

Unless otherwise agreed in writing by Seller all deliveries will be made EXW (Ex Works) Seller’s facility. Delivery will be deemed complete and risk of loss or damage to the Products will pass to Buyer upon delivery to the carrier. 

5. Acceptance/Returns

Shipments will be deemed to have been accepted by Buyer upon receipt of Products at the agreed point of delivery. Buyer shall perform whatever inspection or tests Buyer deems necessary as promptly as possible but in any event within seven days of delivery. Any discrepancy in shipment quantity must be reported to the Seller within seven (7) days of receipt of the Products. 

Once payment has been received AVID HiFi will process your order and send your goods providing you with courier tracking details if appropriate. A tax invoice for your records will be sent once the order has been dispatched. Pristine Vinyl’s acceptance of your order brings into existence a legally binding contract between us on these terms. Any term sought to be imposed by you in your order will not form part of the contract.

6. Warranty and Limitation of Liability

Seller’s products are warranted against defects in materials and workmanship for a period of one year from the original date of purchase, extending to two years subject to the product owner having submitted the Product Registration form and the following conditions being observed. Warranty terms are available on our Website and are reproduced here:-

•The product must have been purchased directly from Pristine Vinyl

•This warranty is in favour of the original purchaser only.

•During the warranty period, Pristine Vinyl will repair, or replace any defects in material or workmanship, without charge for parts or labour.

•Should product need to be returned a written description of the defect and a photocopy of the original purchase receipt must accompany it. Receipts must show the model, serial number, date of purchase, name and address of purchaser and the price paid.

•Returned product must be packed in the original packing and returned to Pristine Vinyl by the customer at his/her expense. Pristine Vinyl will pay return freight of its choice.

•The warranty is void if the product has been used or handled other than in accordance with the instruction manual supplied, abused or misused, damage by accident or neglect or in being transported, or the defect is due to the product being repaired or tampered with by anyone other than Pristine Vinyl.

•The warranty is void if the product serial number has been removed, altered or made illegible.

•The warranty is void if the product has been taken out of the country of purchase..

•Pristine Vinyl shall not be held liable for incidental or consequential damages of any kind arising from the sale or use of its products.

•The warranty applies to ex-demonstration product, using the date of manufacture as purchase date.

•Where the product is sold under a consumer transaction (as defined by the Sale of Goods Act 1979) the statutory rights of the purchaser are not affected by this warranty.

•Products are sold on the basis of specifications applicable at the time of sale. Pristine Vinyl shall have no obligation to modify or to update products once sold.

Outside UK

•Where products are sold outside of the UK Pristine Vinyl accepts responsibility for the warranty period.

•Returned product must be packed in the original packing and returned to Pristine Vinyl by the customer at his/her expense. Pristine Vinyl will pay return freight of its choice. Buyer is responsible for all or any associated import or export charges. 

7. Export Control/Use of Products

Buyer certifies that it will be the recipient of Products to be delivered by Seller. Buyer agrees that the Products are subject to the export and/or import control laws and regulations of various countries. Buyer shall be responsible for complying with any legislation or regulations governing the importation of the Products and/or Services into the country of destination and for the payment of any duties thereon. 

8. Technical Assistance or Advice

Any technical assistance or advice offered by Seller regarding use of any Product or Service or provided in connection with Buyer’s purchases is given free of charge and as an accommodation to Buyer. Any typographical or other error or omission in any sales literature, pricing, invoice or quote is subject to correction without any liability on the Seller’s part.

9. Choice of Law

This Agreement shall be governed by English law. The parties agree to submit to the exclusive jurisdiction of the English courts save that the Seller may commence proceedings in the courts of the Buyer’s domicile.

10. Non-Waiver

No course of dealing or failure of either party to strictly enforce any Condition or term, right or condition of the parties’ contract shall be construed as a waiver of that term, right or condition nor shall Seller’s acceptance of a purchase order be deemed as an acceptance of any terms and conditions therein.
